PURPOSE: In accordance with the By-Laws of the City of Greensboro Audit Committee (Committee), the City Council is required to appoint the Chairperson of the Committee and appoint the Outside Member. It is requested that the City Council appoint Greensboro Mayor Nancy Vaughan as Chairperson of the Committee and appoint Art Winstead, CPA of DMJ, a Greensboro public accounting firm, to continue as the Outside Member for another two (2)-year term.
BACKGROUND: The City of Greensboro Audit Committee was established on October 19, 2010 and is comprised of seven members, three (3) City Council members, one outside member, the City Manager, the Internal Audit Director, and the Financial & Administrative Services Director. The current and only voting members include Mayor Vaughan, Councilmember Matheny (Vice Chairperson) and Councilmember Wilkins. Public Member, Art Winstead has served on the Committee since inception.
The Chairperson and Vice Chairperson will hold office until his/her death, resignation, retirement, removal, disqualification, or his/her successor shall have been appointed and qualified. The Public Member will serve a two (2) year term.

RECOMMENDATION / ACTION REQUESTED: The Audit Committee of the City of Greensboro recommends that City Council adopt a resolution to appoint Mayor Nancy Vaughan as Chairperson and appoint Art Winstead as Public Member of the City of Greensboro Audit Committee for a two (2) year term.
